ONLINE ACCESS AGREEMENT
AND ELECTRONIC FUNDS TRANSFER
ACT DISCLOSURE

AGREEMENT - This Agreement, which includes the Fee Schedule, is a contract which establishes the rules which cover your electronic access to your accounts at EverTrust Bank ("Bank") through our Online Banking System ("System"). By using the System, you accept all the terms and conditions of this Agreement. Please read it carefully. The terms and conditions of this Agreement and disclosures for each of your Bank accounts as well as your other agreements with Bank such as loans continue to apply subject to applicable federal laws and the laws of the State of California (except to the extent this Agreement can and does vary such rules or laws). If any provision of the Agreement is found to be unenforceable according to its terms, all remaining provisions will continue to full force and effect. The headings in this Agreement are for convenience or reference only and will not govern the interpretation of the provisions. Any waiver (express or implied) by either party of any default or breach of this Agreement must be in writing and shall not constitute a waiver of any other or subsequent default or breach. You may not assign this Agreement. This Agreement is binding upon your heirs and Bank's successors and assigns, however, in any event. Certain obligations of the parties pursuant to this Agreement by their nature would continue beyond the termination, cancellation or expiration of this Agreement shall survive termination, cancellation or expiration of this Agreement. This Agreement, together with the Enrollment form and the Fee Schedule, constitutes the entire agreement between you and Bank with respect to the subject matter hereof and there are no understandings or agreements relative hereto which are not fully expressed herein.

If your are using the Services for consumer transactions, all of this Agreement applies except the final section (that is, except for the section entitled "Provisions Applicable to Non-Consumer Transactions"). If you are using the Services for non-consumer transactions, all of this Agreement applies except for the section entitled "Provisions Applicable to Consumers Only." Non-consumer users may be asked by use to sign a copy of this Agreement and to provide evidence of appropriate authorization to enter into this Agreement.

DEFINITIONS - As used in this Agreement:

  1. "Account" or "accounts" means your deposit accounts at Bank.
  2. "Electronic funds transfers" means ATM withdrawals, pre-authorized transactions, point of sale transactions and transfers to and from your Bank accounts using the System.
  3. "You," "your" and similar words mean the accountholder authorized by us to use the System under this Agreement and anyone else authorized by that account holder to exercise control over the accountholder's funds through the System.
  4. "Business days" means Monday through Friday. Holidays are not included
  5. "Consumer account" is an account of yours that is established primarily for personal, family or household purposes.
  6. "Consumer transactions" means the use of the System to access a consumer account.
  7. "Non-consumer transaction" means the use of the Services for any purpose that is not a consumer transaction (for example, to access an account that is not a consumer account) and in addition includes (to the extent allowed by law): (i) any transfer of funds through Fedwire or a similar wire transfer system; (ii) any transfer of funds the primary purpose of which is the purchase or sale of a security or commodity; and (iii) any use of the Service if the use is not covered by the Electronic Fund Transfer Act and its implementing Regulation E.
  8. "Services" means the services provided pursuant to this Agreement.
  9. "We", "our", "us", and similar words, and "Bank," mean EverTrust Bank.

ACCESS - To use the System, you must complete the registration process with us. Once we have completed your registration process, and verified your account information, we may, by postal mail, send you confirmation of your enrollment. The System can be used to access only the Bank accounts which you have designated for access by the System. Please note that email communication is not considered confidentially safe. Access to your accounts through the System will be based upon the identification of users. We undertake no obligation to monitor transactions through the System to determine that they are made by you or on your behalf.

SYSTEM SERVICES - You can use the System to check the balance of your Bank account, view Bank account histories, transfer funds between your Bank accounts, and export account history, Balance and activity information of the previous business day is available after day-end processing.

HOURS OF ACCESS - You can use the System seven days a week, twenty-four hours a day, although some or all the System services may not be available occasionally due to emergency or scheduled system maintenance. We agree to post notice of any extended periods of non-availability on the System website.

YOUR PASSWORD - For security purposes, you determine what password you will use and the identity of your password is not communicated to us. You agree that we are authorized to act on instructions received under your password. You accept responsibility for the confidentiality and security of your password and agree to change your password regularly. Upon three unsuccessful attempts to use your password, your access to the System will be revoked. To re-establish your authorization to use the System you must contact us to have your password reset. We recommend that you create a password that utilizes both upper and lower case alpha, numeric plus any special characters for purposes of security. Your password should not be associated with any commonly known personal identification, such as social security numbers, address, date of birth, names of children and should be memorized rather than written down.

SECURITY - You understand the importance of your role in preventing misuse of your accounts through the System and you agree to promptly examine your paper statement for each of your Bank accounts as soon as you receive it. You agree to protect the confidentiality of your account and account number, and your personal identification information, such as your driver's license number and social security number. You understand that personal identification information by itself or together with information related to your account, may allow unauthorized access to your account. Your password and login ID are intended to provide security against unauthorized entry and access to your accounts. Data transferred via System is encrypted in an effort to provide transmission security and the System utilizes identification technology to verify that the sender and receiver of the System transmissions can be appropriately identified by each other. Notwithstanding our efforts to insure that the System is secure, you acknowledge that the Internet is inherently insecure and that all data transfers, including electronic mail, occur openly on the Internet and potentially can be monitored and read by others. We cannot and do not warrant that all data transfers utilizing the System, or e-mail transmitted to and from us, will not be monitored or read by others.

FEES AND CHARGES - Internet banking registration and access are free of charge. You agree to pay the fees and charges for your use of the System Services as set forth in the current Fee Schedule and this agreement. You agree to pay any additional reasonable charges for services you request which are not covered by this Agreement. You are also responsible for telephone and Internet Service fees you incur in connection with your use of the System.

POSTING OF TRANSFERS - DDA and Savings transfers initiated through the System are real time and are available immediately if funds are available. The System identifies transfers based upon the login ID of the user who made the electronic transfer. You agree to communicate with any other person with authorized access to your accounts concerning any transfers from your accounts in order to avoid overdrafts.

LIMITS ON AMOUNTS AND FREQUENCY OF SYSTEM TRANSACTIONS - The number of transfers from Bank accounts and the amounts which may be transferred are limited pursuant to the terms of the applicable deposit agreement and disclosure for those accounts. In general, you are limited to a total of six transfers and withdrawals from an interest-bearing account (other than a NOW account) per statement cycle, to another account or to third parties. If a hold has been placed on deposits made to an account from which you wish to transfer funds, you cannot transfer the portion of the funds held until the hold expires.

STOP PAYMENT SERVICE – You may stop payment by following the procedures established for the specific Service. For ACH stop payments, contact one of our branches. To stop payment on a check, you must provide us with timely, complete and accurate information on: the number of the account in question; the date of the item; the item number; the payee information and the EXACT amount of the item (dollars and cents). If any information is incomplete or incorrect, we will not be responsible for failing to stop payment on the transaction. Requests become effective when the System generates a confirmation number .From time-to-time, the online system may be inoperable. IF that occurs, your request can be communicated to us by telephone.

CHANGE IN TERMS - We may change any term of this Agreement or the Fee Schedule at any time. If the change would result in increased fees for any System service, increased liability for you, fewer types of available electronic fund transfers, or stricter limitations on the frequency or dollar amount of transfers, we agree to give you notice at least 30 days before the effective date of any such change, unless an immediate change is necessary to maintain the security of an account or our electronic funds transfer system. We will post any required notice of the change in terms on the Bank System website or forward it to you by e-mail or by postal mail. If advance notice of the change is not required, and disclosure does not jeopardize the security of the account or our electronic fund transfer system, we will notify you of the change in terms within 30 days after the change becomes effective. Your continued use of any or all of The System Services indicates your acceptance of the change in terms. We reserve the right to waive, reduce or reverse charges or fees in individual situations. You acknowledge and agree that the applicable deposit agreements and disclosures also contain terms that govern changes to fees applicable to specific accounts.

DISCLAIMER OF WARRANTY AND LIMITATION OF LIABILITY - We make no warranty of any kind, expressed or implied, including any implied warranty of merchantability or fitness for a particular purpose, in connection with the System Services provided to you under this Agreement. We do not and cannot warrant that the System will operate without errors, or that any or all System Services will be available and operational at all times. Except as specifically provided in this Agreement, or otherwise required by law, you agree that our officers, directors, employees, agents or contractors are not liable for any indirect, incidental, special or consequential damages under or by reason of any services or products provided under this Agreement or by reason of your use of or access to the System, including loss of profits, revenue, data or use by you or any third party, whether in an action in contract or tort or based on a warranty. Further, in no event shall the liability of Bank and its affiliates exceed the amounts paid by you for the services provided to you through the System.

YOUR RIGHT TO TERMINATE - You may cancel your System service at any time by providing us a written notice by postal mail or fax. Your access to the System will be suspended within 3 business days of our receipt of your instructions to cancel the service. You will remain responsible for all outstanding fees and charges incurred prior to the date we have acted on your request for cancellation.

OUR RIGHT TO TERMINATE - You agree that we can terminate or limit your access to the System or to System Services for any of the following reasons:

  1. Without prior notice, if you have insufficient funds in any one of your Bank accounts. System Services may be reinstated, in our sole discretion, once sufficient funds are available to cover any fees, pending transfers, and debits.
  2. Upon reasonable notice, for any other reason or no reason, at our sole discretion.

INTERNET BANKING FEES - Internet banking registration and access are free of charge. When new products are introduced and you choose to enroll for those new products, the applicable fee(s) will be disclosed and charged accordingly. Additional fees may be imposed on your account(s) due to other than your use of the System. Please refer to Account Agreement and Disclosures for additional fees, and to the attached Schedule of Fees and Charges. Withdrawals from a time deposit account prior to the maturity date or prior to any notice period may be restricted and may be subject to early withdrawal penalty. See your notice of penalty for early withdrawal.

CONSENT TO ELECTRONIC DELIVERY OF NOTICES - You agree that any notice or other type of communication provided to you pursuant to the terms of this Agreement, and any future disclosures required by law, including electronic fund transfer disclosures, may be made electronically by posting the notice on the Bank System website.

ELECTRONIC FUNDS TRANSFERS
YOUR RIGHTS AND RESPONSIBILITIES

Indicated below are the types of Electronic Funds Transfers we are capable of handling, some of which may not apply to your account. Please read this disclosure carefully because it tells you your rights and obligations for the transactions listed. You should keep this notice for future reference.

PREAUTHORIZED CREDITS - You may make arrangements for certain direct deposits to be accepted into your checking or savings account(s).

PREAUTHORIZED PAYMENTS - You may make arrangements to pay certain recurring bills from your checking or savings account(s).

TELEPHONE TRANSFERS - TYPES OF TRANSFERS - You may contact our branch by telephone to:

  • Transfer funds from checking to checking
  • Transfer funds from checking to savings
  • Transfer funds from savings to checking
  • Transfer funds from savings to savings

A telephone transfer agreement has to be signed before such can be performed.

ONLINE COMPUTER TRANSFERS - types of transfers and charges - you may access your accounts(s) by Internet access at www.evertrustbank.com using your customer ID and password to:

  • Transfer funds from checking to checking
  • Transfer funds from checking to savings
  • Transfer funds from savings to checking
  • Transfer funds from savings to savings

Please also note transaction limitations for specific account types as disclosed in your original disclosure documents provided to you at the time of opening your account.

CHARGES FOR ELECTRONIC FUND TRANSFERS
We do not charge for direct deposits to any type of account. All other type of electronic fund transfers, we do charge fee accordingly to our fee schedule.

BUSINESS DAYS
Business days for electronic banking services are Monday through Friday, excluding legal holidays.

DOCUMENTATION
Preauthorized credits
- If you have arranged to have direct deposits made to your account(s) at least once every 60 days from the same person or company, you can contact one of our branches to find out whether or not the deposit has been made.

Periodic Statements - You will get a monthly account statement (unless there are no transfers in a particular month). In any case, you will get the statement at least quarterly.

COMMUNICATIONS BETWEEN BANK AND YOU
Unless this Agreement provides otherwise, you can communicate with us in any one of the following ways:

  1. TELEPHONE. You can contact us by telephone at 626-656-1109 during our business hours.
  2. FAX. You can contact us by fax at 626-656-7880.

  4. IN PERSON. You can visit us at one of our branches during our business hours.
Provisions Applicable to Consumers Only
  1. PREAUTHORIZED PAYMENTS
    RIGHT TO STOP PAYMENT AND PROCEDURES FOR DOING SO - If you have told us in advance to make regular payments out of your account, you can stop any of these payments. Here's how:

    Call or write us, using the information provided above under the section "COMMUNICATIONS BETWEEN THE BANK AND YOU." Please allow three or more business days for your request to be completed. If you call us, we may also require you to put your request in writing (for example, by using the Services stop payment form) and get it to us within 14 days after your call. We will charge you a fee for each stop payment order you give.

    LIABILITY FOR FAILURE TO STOP PAYMENT OF PREAUTHORIZED TRANSFER - The information you provided to us has to be precise and accurate. If the information is incorrect, we will not be held liable for failing to make stop payment on behalf of your request. If you order us to stop one of these payments three business days or more before the transfer is scheduled, and we do not do so, we will be liable for your losses or damages....
     
  2. FINANCIAL INSTITUTION'S LIABILITY
    OUR LIABILITY FOR FAILURE TO MAKE A TRANSFER - If we do not complete a transfer to or from your account on time or in the correct amount according to our agreement with you, we will be liable for your losses or damages. However, there are some exceptions. We will not be liable, for instance:
    1. If, through no fault of ours, you do not have enough money in your account to make the transfer.
    2. If the transfer would go over the credit limit on an overdraft line.
    3. If any electronic terminal, telecommunication device, or any part of the electronic fund transfer system is not working properly and you knew about the breakdown when you started the transfer.
    4. If circumstances beyond our control (such as fire, flood, interruption in telephone service or other communication lines) prevent the transfer, despite reasonable precautions that we have taken.
    5. If a legal order directs us to prohibit withdrawals from the account.
    There may be other exceptions stated in our agreement with you...
     
  3. CONFIDENTIALITY
    We will disclose information to third parties about your account or the transfer you make:
    1. Where it is necessary for completing transfers; or
    2. In order to verify the existence and condition of your account for a third party, such as a credit bureau or merchant;
    3. In order to comply with government agency or court orders; or
    4. If you give us written permission 

     
  4. UNAUTHORIZED TRANSFERS
    YOUR LIABILITY FOR UNAUTHORIZED TRANSFERS - Tell us AT ONCE if you believe your card, personal identification number (PIN) and/or password has been lost or stolen. Telephoning is the best way of keeping your possible losses down. You could lose all the money in your account (plus your maximum overdraft line of credit, if any). If you tell us within two business days, you can lose no more that $50 if someone used your card, PIN and/or password without your permission. If you believe your card, PIN and/or password has been lost or stolen, and you tell us within two business days after you learn of the loss or theft, you can lose no more than $50 if someone used your card, PIN and/or password without your permission.

    If you do not tell us within two business days after you learn of the loss or theft of your card, PIN and/or password, and we can prove we could have stopped someone from using your card, PIN and/or password without your permission if you had told us, you could lose as much as $500.

    Also, if your statement shows transfers that you did not make, tell us at once. If you do not tell us within 60 days after the statement was mailed to you, you may not get back any money you lost after the 60 days if we can prove that we could have stopped someone from taking the money if you had told us in time.

    If a good reason (such as a long trip or a hospital stay) kept you from telling us, we may extend the time periods.

    CONTACT IN EVENT OF UNAUTHORIZED TRANSFER - If you believe your card, PIN and/or password has been lost or stolen or that someone has transferred or may transfer money from your account without your permission, call or write us at the telephone number or address listed under the above section titled COMMUNICATIONS BETWEEN BANK AND YOU.
     
  5. ERROR RESOLUTION NOTICE
    In case of errors or if you have questions about your electronic transfer, you may contact us at (626) 656-1109 or Write us at EverTrust Bank, 3640 Rosemead Blvd., Rosemead, CA 91770. Please provide us with the following information:
    1. Tell us your name and account number (if any).
    2. Describe the error or transfer you are unsure about, and explain as clearly as you can why you believe it is an error, or why you need more information.
    3. Tell us the dollar amount of the suspected error.
    If you tell us orally, we may require that you send us your complaint or question in writing within 10 business days.

    We will tell you the results of our investigation within 10 business days after we hear from you and will correct any error promptly. If we need more time, however, we may take up to 45 days to investigate your complaint or question. If we decide to do this we will credit your account within 10 business days for the amount you think is in error, so that you will have the use of the money during the time it takes us to complete our investigation. If we ask you to put your complaint or questions in writing and we do not receive it within 10 business days, we may not credit your account.

    For errors involving new accounts, point-of-sale, or foreign-initiated transactions, we may take up to 90 days to investigate your complaint or question. For new accounts, we may take up to 20 business days to credit your account for the amount you think is in error.

    We will tell you the results within three business days after completing our investigation. If we decide that there was no error, we will send you a written explanation. You may ask for copies of the documents that we used in our investigation.

Provisions Applicable to Non-Consumer (Businesses) Transactions

The following provisions apply to non-consumer transactions only.

  1. PROTECTING YOUR PASSWORD
    You agree that we may send notices and other communications (and any confirmations) to the current address shown in our records, whether or not that address includes a designation for delivery to the attention of any particular individual. You further agree that we will not be responsible or liable to you in any way if information is intercepted by an unauthorized person, either in transit or at your place of business.

    You agree to: 1) keep your customer ID and password and all other security procedures secure and strictly confidential, providing them only to persons you authorize to use the Services; 2) instruct each person to whom you give access to the Services that he or she is not to disclose the security procedures to any unauthorized person; and 3) immediately notify us you believe your security procedures may have become known to an unauthorized person

    You assume all risks associated with disclosure of any security procedures to others, including your employees. You agree to limit disclosures of security procedures to those persons who you authorize to use the Services and who have a specific need to know. You will establish procedures to protect the confidentiality of all information relating to the Services, including all security procedures, and will promptly notify Bank if you know or suspect that any security procedure is stolen, compromised, or misused.

    THE BANK WILL HAVE NO LIABILITY TO YOU FOR ANY UNAUTHORIZED PAYMENT OR TRANSFER MADE USING YOUR CUSTOMER ID OR PASSWORD THAT OCCURS BEFORE YOU HAVE NOTIFIED US OF POSSIBLE UNAUTHORIZED USE AND WE HAVE HAD A REASONABLE OPPORTUNITY TO ACT ON THAT NOTICE.

    We may suspend or cancel your security procedures even without receiving notice from you, if we suspect the Services are being used in an unauthorized or fraudulent manner as regards your accounts.
     
  2. ACKNOWLEDGMENT OF COMMERCIALLY REASONABLE SECURITY PROCEDURES
    After review of the Services, including the security procedures used to verify the authenticity of a communication from you to the Bank, you will notify us if your use of the Services would necessitate or be better served by a level of security that exceeds that offered by the Services. If you fail to so notify us, you acknowledge and agree that the security procedures of the Services are appropriate for your needs and will provide you with a commercially reasonable degree of security against unauthorized use. You agree that the security procedures are not intended to, and will not serve as, a procedure to identify errors in a payment order or other communications.
     
  3. YOU ARE RESPONSIBLE FOR COMMUNICATIONS IN YOUR NAME
    If a transfer instruction through the Services received by us purports to have been transmitted or authorized by you, it will be deemed effective as your transfer request and you will be obligated to us for the amount of such transfer request, even though the transfer request was not authorized by you, provided we acted in compliance with the security procedure referred to in this Agreement (or other applicable agreement) with respect to the transfer request. If a transfer instruction received by us was transmitted or authorized by you, you shall be obligated to pay the amount of the transfer request as provided herein, whether or not we complied with the security procedure referred to in this Agreement with respect to that transfer request and whether or not that transfer request was erroneous in any respect or that error would have been detected if we had complied with such procedure.
     
  4. LIMITATION OF BANK'S LIABILITY FOR BUSINESS CUSTOMERS ONLY
    If we fail or delay in making a transfer pursuant to your instructions, or if we make a transfer in an erroneous amount which is less than the amount per your instructions, unless otherwise required by law our liability shall be limited to interest on the amount which we failed to timely pay or transfer, calculated from the date on which the payment or transfer was to be made until the date it was actually made or you canceled the instructions. We may pay such interest either to you or the intended recipient of the payment or transfer, but in no event will we be liable to both parties, and our payment to either party will fully discharge any obligation to the other. If we make a transfer in an erroneous amount which exceeds the amount per your instructions, or if we permit an unauthorized payment or transfer after we have had a reasonable time to act on a notice from you of possible unauthorized use as described above, unless otherwise required by law our liability will be limited to a refund of the amount erroneously paid or transferred, plus interest thereon from the date of the payment or transfer to the date of the refund, but in no event to exceed 60 days interest. If we become liable to you for interest compensation under this Agreement or applicable law, such interest shall be calculated based on the average federal funds rate at the San Francisco Federal Reserve Bank for each day interest is due, computed on the basis of a 360-day year.

    IN NO EVENT WILL WE BE LIABLE TO YOU FOR SPECIAL, INDIRECT OR CONSEQUENTIAL DAMAGES INCLUDING, WITHOUT LIMITATION, LOST PROFITS OR ATTORNEY'S FEES, EVEN IF WE ARE ADVISED IN ADVANCE OF THE POSSIBILITY OF SUCH DAMAGES.
     
  5. YOUR DUTY TO NOTIFY US OF ERROR
    You agree to notify us promptly: (i) of any discrepancy between your records and the periodic account statements or on-line information furnished by us to you; or (ii) if a payment or transfer purportedly made on your behalf or charged to your account was not authorized by you, was erroneous or was executed improperly. You shall be deemed to have received notice of such an occurrence when you receive actual notice or an account statement furnished in a fashion customary for that account or such other account as was charged for payment indicating: (i) the purported payment order or other communication was accepted and acted upon by us; or (ii) your account was debited with respect to the payment or transfer, whichever occurs first.

    If you fail to notify us within 30 days after you received notice of any unauthorized or erroneous transfer, we will not owe you any interest on the amount in question even if we are otherwise liable to you in connection with the transfer or other communication or are obligated to credit you for the amount of the transfer or any portion thereof, nor will we be liable for any other losses resulting from your failure to give such notice with respect to a transfer shown on such periodic statement. If you fail to notify us of any such discrepancy within 60 days, you shall be precluded from asserting such discrepancy against us.
     
  6. NO OBLIGATION FOR MULTIPLE AUTHORIZED SIGNERS
    If your account requires multiple signatures by authorized signers on a check, draft or other transfer from your account, those restrictions do not apply to transfers through the Services. We may honor transfer instructions without regard to any requirement for multiple signatures that might otherwise apply to your account.
